For Travel + Leisure Insiders, Selling US.4m Of Shares Was A Smart Move

Despite a 15% gain in Travel + Leisure Co.’s (NYSE:TNL) stock price this week, shareholders shouldn’t let up. The fact that insiders chose to dispose of US$2.4m worth of stock in the past 12 months even though prices were relatively low could be indicative of some anticipated weakness.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Travel + Leisure Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the insider, Olivier Chavy, sold US$829k worth of shares at a price of US$38.39 per share. That means that an insider was selling shares at slightly below the current price (US$49.87). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can’t be sure if it does mean insiders think the shares are fully valued, so it’s only a weak sign. It is worth noting that this sale was 100% of Olivier Chavy’s holding.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Insiders own 2.1% of Travel + Leisure shares, worth about US$69m. We’ve certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At Travel + Leisure Tell Us?

There haven’t been any insider transactions in the last three months — that doesn’t mean much. We don’t take much encouragement from the transactions by Travel + Leisure insiders. But it’s good to see that insiders own shares in the company.
